1. Acceptance of Terms

By accessing and using MetroPay's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Use of Services

MetroPay provides payment processing services, virtual card issuance, and related financial technology solutions. You agree to use our services only for lawful purposes and in accordance with these Terms.

2.1 Account Registration

To use certain features of our services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

2.2 Account Security

You are responsible for safeguarding the password that you use to access the service and for any activities or actions under your password. We encourage you to use "strong" passwords with your account.

3. Payment Processing

MetroPay facilitates payment processing between merchants and customers. All transactions are subject to our fee structure, which includes percentage-based charges plus applicable VAT as outlined in our pricing documentation.

3.1 Transaction Fees

• Interbank transfers: 0.5% + VAT
• Virtual Dollar Card transactions: 1.5% + VAT
• Virtual Naira Card transactions: 1.2% + VAT
• Airtime & Data top-ups: 1% + VAT
• Utility bill payments: 0.8% + VAT
• Crypto and stablecoin payments: 2% + VAT

4. Virtual Card Services

Our virtual card services allow you to create and manage virtual payment cards for online transactions. Cards are issued subject to verification and compliance requirements.

5. Prohibited Activities

You may not use our services for any illegal or unauthorized purpose. You agree to comply with all laws, rules, and regulations applicable to your use of the service. Prohibited activities include but are not limited to:

• Fraudulent transactions or money laundering
• Unauthorized access to other users' accounts
• Distribution of malware or harmful code
• Violation of intellectual property rights
• Harassment or abuse of other users or MetroPay staff

6. Limitation of Liability

MetroPay shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the service. Our total liability shall not exceed the amount of fees paid by you in the twelve months preceding the claim.

7. Termination

We may terminate or suspend your account and bar access to the service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms.

8. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of Nigeria, without regard to its conflict of law provisions.
